Terms of Service
These terms govern use of Liftori's websites, software and services. If your company has a signed agreement, order or work order with Liftori, that document controls wherever it differs from these terms.
1. Agreement
By using Liftori's websites, software or services (the "Services"), you agree to these terms on behalf of yourself and, if you use them for a business, that business ("Customer"). If you do not agree, do not use the Services.
2. Accounts
- Customer is responsible for the people it gives access to and for keeping sign-in details private.
- Tell us promptly at security@liftori.ai if you believe an account has been compromised.
- Customer's administrators can add, change and remove its users.
3. Customer data
- Customer owns its data. Information Customer or its users put into the Services remains Customer's.
- Customer gives Liftori permission to host, process and transmit that data only as needed to provide, secure and support the Services.
- Liftori processes personal data in Customer's data as described in the Data Processing Addendum, which forms part of these terms.
- Customer can request an export of its data at any time.
- Customer is responsible for having the right to provide the data it puts into the Services, including any notices or consents needed from its own customers.
4. Acceptable use
Customer will not, and will not let others: break the law using the Services; attempt to access another customer's data or any system without permission; disrupt or overload the Services; send spam or unlawful messages through them; or copy, resell or reverse engineer Liftori's software except as the law allows. Security testing is welcome with prior written agreement from Liftori.
5. Fees and work orders
- Fees are set out in Customer's order, agreement or work order.
- Fixes to existing features are included. New features, pages, sites or services that add cost are quoted and approved before work begins.
- Unless stated otherwise, fees are due on receipt and exclude taxes.
6. Liftori's responsibilities
Liftori will provide the Services with reasonable skill and care, keep them protected with appropriate security measures, and support Customer as described in its agreement. Liftori may update the Services over time and will not materially reduce the core function Customer is paying for without notice.
7. Intellectual property
Liftori owns its software, platform and know-how. Ownership of custom deliverables, such as a website built for Customer, is set out in the relevant order. Feedback Customer gives may be used to improve the Services.
8. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform under these terms, except where disclosure is required by law.
9. Third-party services
The Services connect to third-party providers such as hosting, email, payment and accounting services. Their own terms apply to them, and Liftori is not responsible for services it does not control.
10. Disclaimer
Except as expressly stated in these terms or a signed agreement, the Services are provided "as is", and Liftori disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement. Customer remains responsible for its own regulatory and compliance obligations; the Services are tools to help meet them.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or lost profits. Each party's total liability under these terms is limited to the fees Customer paid Liftori in the 12 months before the event giving rise to the claim. These limits do not apply to a party's breach of confidentiality, Customer's payment obligations, or liability that cannot be limited by law.
12. Term and termination
- These terms apply while Customer uses the Services, and for the term of any order.
- Either party may end the relationship as set out in the order, or for a material breach not fixed within 30 days of written notice.
- When the relationship ends, Liftori will provide an export of Customer's data on request and then delete it, as set out in the Data Processing Addendum.
13. Governing law
These terms are governed by the laws of the State of Florida. The state and federal courts located in Duval County, Florida have exclusive jurisdiction.
14. Changes
We may update these terms. We will post changes here, update the effective date, and give business customers notice of material changes.
